Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website at zyg-squared.com and any application or service published by Zyg-Squared LLC (collectively, the “Services”). By accessing the Services, you agree to these Terms.

1. Limited license

Subject to your compliance with these Terms, Zyg-Squared LLC grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal or internal business use.

2. Restrictions

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms
• Probe, scan, or test the vulnerability of the Services except as expressly authorized in our Security Policy
• Interfere with or disrupt the Services or attempt to gain unauthorized access to any system or account
• Reverse engineer, decompile, or disassemble any part of the Services except where applicable law expressly permits
• Use automated means to scrape or extract data beyond what robots.txt and standard crawl etiquette permit
• Use the Services to send unsolicited communications, malware, or other harmful content

3. Intellectual property

The Services, including all content, design, code, and trademarks (including “Zyg-Squared” and the Z² mark), are owned by Zyg-Squared LLC or its licensors and are protected by copyright, trademark, and other laws. Except for the limited license in Section 1, no other rights are granted.

Submissions you send to us (e.g. feedback, suggestions) are non-confidential and may be used by us for any purpose without compensation to you.

4. Application end-user license

Each Zyg-Squared LLC application distributed through the Apple App Store or Google Play is licensed to you under these Terms, supplemented by any End User License Agreement (EULA) referenced in the application’s store listing. Where the application is distributed through the Apple App Store, the Apple-Required EULA terms apply in addition to these Terms; in the event of a conflict on Apple-required matters, the Apple-Required EULA controls.

5. Third-party services

The Services may link to or integrate with services operated by third parties. We do not control and are not responsible for the content, privacy practices, or availability of those services. Your use of any third-party service is governed by that party’s terms.

6. Disclaimer of warranties

The Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Zyg-Squared LLC does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

Some jurisdictions do not allow the disclaimer of certain warranties, so the disclaimer above may not apply to you in its entirety.

7. Limitation of liability

To the maximum extent permitted by law, Zyg-Squared LLC and its members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with the Services. Our aggregate liability for any claim arising out of or relating to these Terms shall not exceed one hundred United States dollars (US$100), or the amount you paid us in the twelve months preceding the claim, whichever is greater.

Some jurisdictions do not allow the limitation of liability for certain damages, so the limitation above may not apply to you in its entirety.

8. Indemnification

You agree to defend, indemnify, and hold harmless Zyg-Squared LLC from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services in breach of these Terms or applicable law.

9. Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms or if we are required to do so by law. Sections that by their nature should survive termination (including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) survive.

10. Governing law and venue

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. The exclusive venue for any dispute that is not subject to arbitration is the state and federal courts located in Texas, and you consent to personal jurisdiction there.

11. Changes

We may update these Terms from time to time. Material changes will be noted with a new effective date at the top of this page. Your continued use of the Services after a change becomes effective constitutes your acceptance of the change.
